Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 10, 2018, Michael Rabinovitch, Senior Vice President, Finance and Chief Accounting Officer of Office Depot, Inc. (the “Company”), informed the Company of his decision to resign from the Company effective February 28, 2018 (the “Departure Date”) to pursue other business opportunities. In order to ensure a smooth transition, Mr. Rabinovitch will continue working closely with Joseph T. Lower, the Company’s Executive Vice President and Chief Financial Officer, until the Departure Date.
